Standard Terms of Service & Commercial Agreement.

1. 100% Intellectual Property (IP) Assignment

All bespoke source code, database architectures, software designs, UI/UX assets, and technical documentation produced by Carmel Web Solutions during client engagements become the exclusive property of the client upon milestone payment. Carmel retains zero claim or proprietary hold on custom work product.

2. Engagement Models & Milestone Billing

Carmel provides services under three transparent commercial structures:

• Fixed Price Projects: Deliverables, timelines, and budgets are pre-agreed with a structured milestone release schedule. Work is inspected and approved before invoicing.
• Dedicated Squad Augmentation: Senior engineers are dedicated full-time to client backlogs and billed monthly or bi-weekly with two-week scaling flexibility.
• Outcome-Based Engagements: Commercial remuneration is tied directly to verified operational KPIs and release targets.

3. Post-Launch Defect Warranty

Every project delivered by Carmel includes a complimentary 30 to 90-day post-launch code warranty. During this period, any identified defects or deviations from approved sprint specifications are rectified immediately at zero incremental cost.

4. Mutual Non-Disclosure & Confidentiality

Both parties execute enforceable mutual non-disclosure agreements prior to technical scoping. Carmel agrees to maintain strict operational secrecy regarding client product concepts, codebase repositories, customer records, and commercial strategies.
